Signature Course No. 208 — A Signature AI Socratic Coaching Course.

An agentic, mastery-based AI learning platform.

A New Kind of Learning

Socratic coaching, delivered by an agentic AI coach.

Not a course you watch. An AI coach you work with.

The Lighthouse Coach begins by discovering how you think about the subject, teaches what is missing, and gives you realistic practice before asking you to prove that you can use it. You may test out of concepts you already understand, while capstones turn the learning into a practical plan, decision, conversation, or other real-world result.

The curriculum is deliberately authored; the AI delivers it through coaching. It is not an AI randomly generating lessons.

Meet The Lighthouse Coach

A coach that teaches by asking — not by lecturing

The Lighthouse Coach is an AI Socratic coach built on Cognosco Learning's Investment Banking Essentials course, in the Sales, Service & Revenue category. It does not play videos at you. It holds a conversation: it asks you a question, listens to your answer, names the misconception it hears, affirms what you got right, and asks the next question — the way a great coach works in the room.

An investment bank helps other firms raise money, buy and sell businesses, and move risk. It charges for judgment, access, and execution in the doing of it — and this course teaches that business from the inside out, at essentials depth: what a bank is paid for, who does the work, and where its interests lie.

You follow one deal the whole way. Alden & Pike, a fictional advisory bank, runs the sale of Fieldstone Foods — revenue, earnings, debt, cash, and share count stated once and never changed — through mandate, buyer list, pitchbook, valuation, fairness, and diligence, so every figure you meet can be recomputed from the paragraph that introduced it.

Then you raise the money and close. Map the capital markets, take a fictional issuer public from mandate to pricing and allocation, borrow in the bond market with a literate borrower's eye, compute every way the bank is paid, assemble a closing from its conditions, and govern the whole season under the conflict and confidentiality rules — closing with the banker's standard you sign.

It works in two movements. First, Module 1 — The Bank at Work: Deals, Teams, and Price — work through Concepts 1–9, finishing with The Sale, Planned and Priced; then, Module 2 — Raising Capital, Closing Deals, Keeping Faith — work through Concepts 10–18, finishing with The Issue, Priced and Closed.

Both capstones produce real artifacts — The Sale, Planned and Priced, a complete sell-side process plan and fairness-ready price argument for Fieldstone Foods, built on both valuation lenses with every bridge and sensitivity shown; and The Issue, Priced and Closed, a capital-raising and closing plan for a fictional issuer, defended in writing, with the bank's economics computed and its failures priced in advance.

The honesty discipline is part of the course. Every company, deal, and figure in the book is fictional and stated to be so; no passage describes a real company's deal, a real fee, or a real league-table position; and valuation stays at the level of meaning and use — the modelling depth belongs to a neighboring course, and the course says so plainly.

The course is self-paced and always on — roughly 30 minutes per concept, about 9 hours in full, taken in as many sittings as you like. You can type your answers, or talk out loud: the Voice Coach speaks its questions and listens to your spoken replies. Learners who already know the material can test out concept by concept.

Investment Banking Essentials is part of The Lighthouse Signature Series — the online counterpart to the one-day, in-person learning Cognosco Learning has delivered since 2002.

The Method

Diagnose → Learn & Practice → Prove → Capstone

Every learner moves through the same discipline a Cognosco instructor would insist on in the room.

1

Diagnose

The Coach starts where the course starts: with what you actually bring. A bank does not make things — it makes transactions possible, and it is paid for judgment at the moments when judgment is hardest. Every concept opens with three questions that locate where you actually stand, and your answers shape how deeply the Coach works the concept with you. Everyone begins with Module 1 — no skipping the foundations you only think you have.

2

Learn & Practice

Work each concept in conversation with the Coach — spoken or written — then practice it against realistic situations until it holds up.

3

Prove

Every concept ends in proof: answer the check cold and demonstrate the skill. Know it already? Test out and take credit immediately.

4

Capstone

Finish with two capstones — The Sale, Planned and Priced for Module 1 and The Issue, Priced and Closed for Module 2 — that pull the whole course together, and earn the certificate.

The Course Content

What You'll Learn

A deal is a process with a price inside it. A mandate won, a team staffed, a buyer list built, a book written, a price argued, a diligence file opened, a board persuaded, and a closing assembled from a hundred small conditions — this course teaches that process in order.

Module 1 runs the sale. The bank and its team, the sell-side process and the buy-side search, the pitchbook cross-examined, both valuation lenses with their cargo unloaded, fairness judged as a board must judge it, and diligence ranked by the assumptions the price cannot lose.

Module 2 raises and closes. The capital markets mapped, an offering priced and allocated, a bond issue read as four terms and a price, the bank's fees computed with their incentives bare, and a closing assembled from owned conditions with its break plan priced in advance.

And it keeps the work honest. Conflicts disclosed in numbers and consented to in advance, information sealed behind the wall, broken deals post-mortemed without theatre, and a closing standard of five checkable commitments — because a price is an argument, and an argument must show its work.

What you will learn

  • Explain what an investment bank does, how it is organized, and how a deal team works — and follow a sell-side process and a buy-side search from first conversation to signed agreement
  • Read a pitchbook critically — what it proves, what it assumes, and what it omits — and use multiples and the discounted cash flow idea at essentials level, stating when each earns trust
  • Judge fairness, price, and negotiation claims the way a board must, and run diligence that names the red flags that change a deal
  • Follow an IPO and a debt issue from mandate to pricing and closing, compute how banks are paid, follow closing mechanics, and apply the conflict and confidentiality rules that govern the work

Who It's For

Built for anyone who will ever sit across from a bank

Managers and owners — who may one day sell a business, buy one, raise capital, or sit across the table from a bank, and who need to know what is happening to them while it happens.

Directors, advisers, and junior professionals — directors and advisers who must judge a price, a process, and a fairness claim without being captured by the bank presenting them; and analysts and junior professionals entering banking, corporate development, or an advisory-adjacent role, who need the whole map before they specialize in one corner of it.

Operators moving into finance-facing roles — budget holders, division leads, and founders who already make decisions with deal consequences and want the literacy to make them on evidence; the course assumes comfort with arithmetic and no banking or modelling background.
